Catherine has more than 10 years of tax planning and
consulting experience with BDO and extensive experience preparing and
reviewing federal and state corporate, partnership, and individual income
tax returns. In addition, she has significant experience preparing and
reviewing deferred tax calculations, planning for the income tax effects of
business mergers and acquisitions, and reviewing organizational structures
to determine tax minimization strategies.
Catherine also consults with clients on various issues related to
restructurings, net operating losses, and mergers and acquisitions –
including transaction cost analysis and accounting and tax transition
issues. She is a member of the BDO Corporate Consulting Group, a member of
the BDO FAS 109 Resource Team, and a frequent speaker on the topic of Tax
Provisions.
David Leiter
Partner, Federal Tax Practice
KPMG LLP
David Leiter is a Partner with KPMG’s Federal Tax
Practice. He also serves as KPMG’s Southeast Area Resource for FAS 109 and
Sarbanes-Oxley Act Section 404 from a Tax perspective.
David’s client service experience has included work for UPS,
Georgia-Pacific, Equifax, Acuity Brands, Graphic Packaging,
Scientific-Atlanta, Health Management Associates, Roper Industries, Mirant,
Sun Capital Partners and AutoNation.
David’s professional and community involvements include the following: The
Howard School – Board of Trustees
Trinity School – Annual Fund Grade Representative; St. Anne’s Episcopal
Church – Stewardship Committee, Children’s Ministry Committee, Usher, and
Sunday School Teacher; United Way, Habitat for Humanity, Woodruff Arts

Bill Smith, Esq.

Bill Smith joined the CBIZ National Tax Office in 2000 as a Director
specializing in complex tax transactions and controversies, and accounting
firm tax practice liability issues. His presence solidifies the concept and
practice of offering CBIZ offices nationwide consulting on strategic tax
transactions and complex tax and accounting issues from the Washington, D.C.
area, while providing the company with a known resource in the area of risk,
liability and best business practices for tax and accounting professionals.
Mr. Smith consults nationally on a broad range of tax services, including
transactional foreign and domestic tax planning for corporations,
partnerships and individuals, such as mergers and acquisitions, domestic and
international investments or divestitures, and reviewing and negotiating
partnership and other business agreements. He brings CBIZ extensive
experience with federal and state tax litigation and administrative
controversies, negotiations with the IRS national office, executive
compensation, bankruptcy and insolvency tax planning and litigation,
workouts of distressed businesses, tax exempt private foundations and public
charities, secured and unsecured financing, real property transactions,
venture capital investments, licenses and royalty agreements, and a wealth
of other transactions.
Mr . Smith joined CBIZ after five years the office of General Counsel at
Deloitte & Touche LLP, where he was responsible for all aspects of the
firm’s tax and accounting claims practice. He managed complex lawsuits filed
throughout the country, handled all threatened litigation, helped revise the
firm’s tax practice manual and covered all subpoenas and summonses and
related testimony, as well as providing practitioners with tools and methods
to avoid risk in their daily client service.
Mr . Smith has over 25 years of tax experience in both the public and
private sectors, from his days as a trial attorney prosecuting civil tax
cases with the U.S. Department of Justice, Tax Division, to his private
practice as a tax lawyer, to working in-house at a Big Four accounting firm.
His private practice began with his own specialty tax law firm in San
Francisco. He subsequently served as lead tax partner at Feldman, Waldman &
Kline, a blue chip San Francisco full service law firm with a broad range of
domestic and international clientele focusing on closely held businesses and
wealthy individuals and entrepreneurs.
Mr. Smith has spoken at numerous conferences throughout the country on a
myriad of topics, including the professional responsibilities of tax lawyers
and accountants, and best practices in the industry. He is frequently quoted
in the media, including the Wall Street Journal, as an authority on tax
topics and professional ethics.
Mr . Smith is a magna cum laude graduate of Florida State University School
of Law. He is the author of “Tax Aspects of Bankruptcy Practice” in the
Business Lawyer’s Bankruptcy Guide (Clark, Boardman, Callaghan). He has
nourished a life-long love of soccer through coaching youth and adults, and
participating as a Board Member of the San Francisco United Soccer Club
(professional minor league).
