Jerald A. Jacobs

Jerry Jacobs is a Washington attorney and head of the Nonprofit Organizations practice of the Pillsbury Winthrop Shaw Pittman LLP law firm. That practice annually provides legal counseling and advocacy for over 150 national trade associations, professional societies, cause organizations, and charities. He is also head of the 75-attorney Public Practices Section of the firm. Mr. Jacobs has been focused on the legal representation of nonprofit organization clients for over two decades. His practice includes antitrust and trade regulation, health law, litigation, nonprofit corporate governance and transactions, federal income tax exemption, and federal legislative and regulatory issues affecting nonprofit organizations.

Mr. Jacobs is General Counsel for ASAE & The Center for Association Leadership, the 24,000-member national professional society of nonprofit organization staff executives. He founded ASAE & The Center’s 4,000-member Legal Section and chaired its Section Council for three years, and for the past ten years he has been the keynote speaker at its Legal Symposium. He has also served on ASAE’s Board of Directors and on the Board of Directors of the ASAE Foundation. He chaired ASAE’s Government Affairs Committee for two years. He has received ASAE’s Distinguished Service Award, the highest honor presented to associate members of the Society.

Mr. Jacobs has written extensively on legal and governmental issues for nonprofit organizations. His book credits include Association Law Handbook, 4th ed. (2007) and its biennial supplement Association Law Update (2009); Certification and Accreditation Law Handbook, 2nd ed. (2004; with Jefferson C. Glassie); Associations and the Law (2002); Federal Lobbying Law Handbook, 2nd ed. (1993); and Legal Risk Management for Associations (1995; with David W. Ogden, currently Deputy Attorney General of the United States).

In 2002, Mr. Jacobs was named “Outstanding Nonprofit Attorney” by the American Bar Association. In 1998 Mr. Jacobs presented a paper on tort law risks to nonprofit organizations before the Litigation Section of the American Bar Association, and in 1999 he presented a paper on antitrust risks to ABA’s Section of Business Law.

Mr. Jacobs has advised the governments of the European Union and the Peoples Republic of China on nonprofit/nongovernmental organization issues.

Mr. Jacobs holds undergraduate and law degrees from Georgetown University and studied at the University of Fribourg, Switzerland. He has served as an adjunct professor in the area of nonprofit organization law at The George Washington University. He is admitted to practice law in the District of Columbia, before several federal district and circuit courts, and before the U.S. Supreme Court.

He is a former Tax Managing Director with KPMG and Pricewaterhouse Coopers and has significant experience with clients in the higher education and health care industries. His clients have included many of the largest private foundations and other tax exempt organizations in the Mid-Atlantic area including National Geographic Society, Freedom Forum, Inc., American University, William Penn Foundation, Sarah Scaife Foundation, West Penn Allegheny Health System, Johns Hopkins University, Upper Chesapeake Health System, Gettysburg College and Jefferson Health System, Inc.

Mr. Giardini is a founding member of the Mid-Atlantic Chapter of the Italy-America Chamber of Commerce where he served as president. He is a frequent speaker with the Healthcare Financial Management Association, Pennsylvania Institute of Certified Public Accountants and Eastern Association of College and University Business Officers on various tax topics.

Deborah Kosnett, CPA

Deborah G. Kosnett, a Tax Principal with the accounting firm of Tate & Tryon, CPAs and Consultants, has nearly 25 years of exempt organizations tax experience.  Before joining the firm in 1999, Ms. Kosnett served as a senior tax manager at the Washington offices of KPMG and Ernst & Young, where she worked with a variety of exempt organizations, including nonprofit hospitals and multi-entity health systems, associations, and charitable organizations.  In addition, Ms. Kosnett frequently assists ASAE & the Center for Association Leadership in drafting comments and recommendations relating to proposed tax legislation, and has accompanied ASAE representatives to Capitol Hill to provide technical assistance on various exempt organization tax topics.  Ms. Kosnett also serves on the AICPA's Exempt Organizations Tax Resource Panel (EOTRP), and is a frequent speaker at AICPA and Greater Washington Society of CPAs events.

Dan Romano is a Partner in Grant Thornton’s Not-for-Profit Tax Practice in the Northeast and is the national NFP tax practice leader.

Dan spends 100% of his time providing tax consulting and compliance services to tax-exempt organizations in the not-for-profit industry on such matters as unrelated business income, employment taxes, private benefit issues and other compliance areas. Dan has provided clients with assistance such as contract, operational, and procedural reviews as it relates to tax matters. Dan has also assisted in the establishment of tax policies and procedures as well as the structuring of contracts including royalty agreements. Dan also specializes in the area of nonresident alien taxation.

Prior to joining Grant Thornton in August 2004, Dan spent over 10 years with a Big 4 firm’s Exempt Organizations Tax Practice. Prior to joining a Big 4 firm, Dan had 3 years of experience with the Internal Revenue Service’s Exempt Organizations Division. As an IRS agent he conducted audits of various exempt organizations and received extensive training in the area of exempt organization taxation.
